Who Are One Housing Group?

One Housing Group Limited (OHGL) is the company set up as a result of a transfer of engagement, collapsing Toynbee and Island Homes into Community Housing Association Limited, and then a change of name to One Housing Group Limited.  OHGL was originally an "industrial and provident society", however this changed with the Co-operative and Community Benefit Societies Act 2014, and so OHGL is now an exempt charity and a registered society under the 2014 Act, registration number 20453R.  OHGL is registered with the Homes and Communities Agency (HCA), registration number LH0171. 

 

OHGL has a board of twelve members, which includes a resident board member.  A number of years ago the Housing Corporation, the forerunner of the HCA were encouraging HAs to appoint residents to their Board. This is now discouraged as the gradual withdrawal of grant has meant that the HCA requires that HAs have to develop properties for sale to subsidise the building of new homes for rent, and thereby requiring that Boards now have members with a professional background. The trend has also been in recent years for paid Officers to become members of the Board.

 

There are a number of subsidiaries wholly owned by OHGL, including: 

  • TPHA Limited (TPHA) - a wholly owned subsidiary of OHGL, formed by Toynbee in 1988 to manage low cost home ownership and the sale of outright units. It is a non-charitable housing association.
  • Citystyle Living Limited (CSL) - a company limited by shares which owns and manages market rented properties.
  • East End Lettings (2) Limited (EEL) - a company limited by shares which owns and manages market rented properties.
  • CHA Ventures Limited (CHAV) - a company limited by shares and a commercial subsidiary which lets all development contracts on behalf of the Group.
  • Arlington Futures (AF) - a company limited by guarantee and also a registered charity. It was formed to fundraise on behalf of the Group.
  • One Direct Maintenance Ltd (ODML) - a company limited by shares which was incorporated on 7 March 2014 to provide repair and maintenance services on behalf of the Group.

There are also further subsidiary companies that develop properties for outright sale.

 

There are a number of joint venture companies which OHGL has investments in, including:

  • Central Street Developments LLP, formed in 2008, is a 50% joint venture between CHAV and Mount Anvil Group Limited.
  • New Ladderswood LLP, formed in 2011, is a 50% joint venture between CHAV and Mulalley and Company Limited.
  • New Granville LLP, formed in May 2013, is a 50% joint venture between CHAV and Mulalley and Company Limited.
  • Dollar Bay Developments LLP, formed in June 2013, is a 50% joint venture between CHAV and Mount Anvil Group Limited.
  • Renovo Facilities and Services Limited, recently formed, a procurement vehicle, between Chequers and One Housing Group Limited.
  • Stone Regeneration LLP (Reg. no. OC400560) is a 50% joint venture between ‘CITYSTYLE LIVING (STONE) LIMITED’ (a subsidiary of OHGL, reg. no. 09403957) and ‘Argent (Property Development) Services LLP’ (Reg. no. OC370009).
